CHAKRA BREATHING FACILITATOR CERTIFICATION

PARTICIPANT AGREEMENT, LIABILITY WAIVER & TERMS OF ENROLLMENT

This Participant Agreement (“Agreement”) is entered into by and between ASJ Innovative Solutions LLC, a New Mexico limited liability company doing business as Chakra Breathing® (“Company”), and the undersigned participant (“Participant”), as of the date of signature below.

By enrolling in the Chakra Breathing Facilitator Certification program, Participant agrees to the following terms:

1. PROGRAM OVERVIEW

The Chakra Breathing Facilitator Certification (“Program”) is a 6-month training program designed to educate and train individuals in breathwork facilitation, somatic awareness, and chakra-based energetic practices.

Delivery Format: Virtual / In-Person Retreat/ Hybrid

Participant acknowledges and agrees that:

  • The Program is educational in nature only

  • The Program is not therapy, psychotherapy, counseling, medical treatment, or mental health services

  • Participation does not establish a therapist-client, doctor-patient, or fiduciary relationship

    TRAVEL, LODGING & ADDITIONAL COSTS

    Participant acknowledges that any in-person components of the Program, including retreat/immersion, may require travel.

    Unless explicitly stated otherwise in writing:

    • Lodging and accommodations are not included in the Program tuition

    • Travel, meals, and transportation are not included

    • Participant is solely responsible for arranging and covering these expenses

    Company is not responsible for:

    • Travel disruptions

    • Accommodation issues

    • Additional costs incurred by Participant

2. PAYMENT TERMS

Participant agrees to one of the following payment options:

  • Pay in Full: $3,333 USD

  • Payment Plan: Down Payment of $250 USD + 6 monthly payments of $555 USD OR 10 monthly payments of $333 USD

By enrolling, Participant agrees:

  • To complete all payments regardless of level of participation, attendance, or completion

  • That all payments are non-refundable under any circumstances

Late Payments:

  • Payments more than 5 days late may incur a late fee of $25

  • Company reserves the right to suspend access to program materials and sessions until payment is current

  • Continued non-payment may result in termination from the Program without refund, while remaining balance remains due

3. NO CHARGEBACKS / PAYMENT DISPUTES

Participant agrees:

  • Not to initiate any chargeback, dispute, or reversal of payment with their bank or payment provider

  • That doing so constitutes a material breach of this Agreement

In the event of a chargeback:

  • Participant agrees to pay all outstanding balances immediately

  • Participant agrees to reimburse Company for all costs incurred, including legal fees, collections fees, and administrative expenses

  • Participant authorizes Company to submit this Agreement as evidence in any dispute resolution process

4. CANCELLATION & TERMINATION POLICY

Participant may voluntarily withdraw from the Program at any time; however:

  • No refunds will be issued

  • Participant remains responsible for the full program fee

Company reserves the right to terminate participation without refund for:

  • Disruptive behavior

  • Harassment or discrimination

  • Breach of confidentiality

  • Unethical or unsafe facilitation practices

  • Any conduct deemed harmful to the integrity of the Program or community

5. ASSUMPTION OF RISK & LIABILITY WAIVER

Participant acknowledges that breathwork and somatic practices may involve:

  • Physical sensations (e.g., dizziness, tingling, hyperventilation)

  • Emotional release (e.g., grief, anger, euphoria)

  • Psychological responses or altered states of awareness

Participant voluntarily assumes all risks, both known and unknown, associated with participation.

Participant hereby releases, waives, and discharges the Company and its owners, employees, contractors, facilitators, and affiliates from any and all liability for:

  • Physical injury

  • Emotional distress

  • Psychological reactions

  • Any direct or indirect harm arising from participation

This waiver applies to all sessions, content, and interactions, whether live or recorded.

6. MEDICAL DISCLAIMER

Participant understands and agrees:

  • The Program is not a substitute for medical, psychological, or psychiatric care

  • Company does not diagnose, treat, or cure any condition

Participant affirms that:

  • They are physically and mentally fit to participate

  • They will consult a licensed healthcare provider if needed

  • They will disclose any relevant medical or psychological conditions that may impact participation

7. INFORMED CONSENT FOR BREATHWORK

Participant acknowledges:

  • Breathwork may lead to altered states of consciousness, emotional release, or physical sensations

  • Each experience is unique and unpredictable

Participant agrees:

  • To take full responsibility for their participation and experience

  • To stop or modify participation if they feel unsafe or unwell

  • To communicate concerns when appropriate

8. CONFIDENTIALITY & GROUP PARTICIPATION

Participant agrees:

  • To maintain the confidentiality of all other participants

  • Not to share personal stories, identities, or experiences outside the Program

Company is not responsible for:

  • Any breach of confidentiality by other participants

9. INTELLECTUAL PROPERTY

All Program materials, including but not limited to:

  • Trainings

  • Recordings

  • Worksheets

  • Methods and frameworks

Are the exclusive property of the Company.

Participant agrees:

  • Not to copy, reproduce, distribute, teach, or share materials without written permission

Violation may result in:

  • Immediate termination without refund

  • Legal action for damages

10. CERTIFICATION TERMS

Certification is granted upon:

  • Completion of required coursework

  • Attendance (live or replay, as specified)

  • Demonstration of competency 

Company reserves sole discretion in awarding certification.

Certification:

  • Does not guarantee employment, income, or business success

11. EARNINGS & RESULTS DISCLAIMER

Participant acknowledges:

  • No guarantees are made regarding financial success, client acquisition, or business outcomes

  • Results depend on individual effort, participation, and external factors beyond Company control

12. CODE OF CONDUCT

Participant agrees to:

  • Act with integrity, respect, and professionalism

  • Refrain from harassment, discrimination, or harmful behavior

  • Practice ethical and safe facilitation

Zero tolerance for:

  • Abuse, coercion, or unsafe practices

13. INDEMNIFICATION

Participant agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from:

  • Their participation in the Program

  • Their actions as a facilitator or practitioner

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Company’s total liability shall not exceed the amount paid by Participant

  • Company is not liable for indirect, incidental, or consequential damages

15. DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of New Mexico.

In the event of a dispute:

  1. Parties agree to attempt good faith mediation

  2. If unresolved, dispute shall be settled by binding arbitration

Venue: Taos, New Mexico

Participant waives the right to jury trial.

16. MEDIA RELEASE 

Participant grants permission for Company to use Participant’s name, likeness, image, voice, testimonials, and/or recordings from the Program for marketing, promotional, and educational purposes, in any media now known or later developed, without compensation.

If Participant does not wish to grant such permission, Participant must submit a written opt-out request via email to chakrabreathing777@gmail.com prior to the start of the Program. Company will make reasonable efforts to honor such requests but cannot guarantee exclusion from all group recordings.

17. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, representations, or agreements.

18. ELECTRONIC SIGNATURE

Participant agrees that:

  • Electronic signature by entering name and information below, is legally binding

  • This Agreement is enforceable as a signed written contract
